As per Trade Registry Ordinance, all businesses in Aruba, whether a sole proprietorship, legal entities, or a branch of a foreign legal entity, are required to register at the Aruba Chamber of Commerce within one week from commencement of commercial activities.

According to the Ordinance on the Establishment of Businesses, post incorporation, all businesses (except sole proprietorship or a general partnership consisting of Dutch nationals) require a business license to operate in Aruba. Also, a managing director of a company is required to obtain a director’s license in Aruba.

Key steps to be followed for registering a company are:

Draft deed of incorporation (which includes articles of incorporation, details of shareholders, directors, details of shares issued and paid up etc. Ministerial “declaration of no objection”) is required to be filed with the Minister of Justice. Effective 1 January 2021, the requirement of ministerial “declaration of no objection” for NVs and VBAs is removed;
The Civil Law Notary executes the deed of incorporation and registers it in the Public Trade Registry at Aruba Chamber of Commerce and Trade; and
Then the entities (except in case of sole proprietorship and a general partnership) are required to obtain Business License (also director’s license, if applicable) from the Department of Economic Affairs in order to conduct business activities in Aruba.
