In order to facilitate EU cross-border mergers, the German legislature proposes to amend the Reorganization Act (RA). The proposals will effectively implement the Merger Directive 90/434/EEC, which entered into force on 15 December 2005. On 13 February 2006, the Ministry of Justice submitted to the federal states and counties a draft of the proposed changes abolishing the obstacles to German limited companies merging with their EU counterparts for comment.
